Abstract
In this paper, mergers and acquisitions will be extensively examined. The main goal between mergers and acquisitions, synergy, and how it is achieved will be discussed. Although they are usually used synonymously, there are differences between mergers and acquisitions. Different types of mergers and acquisitions will be examined thoroughly. Mergers and acquisitions begin with a tender offer from the acquiring company, and then the target company may respond in a variety of ways. Why mergers fail and examples of the biggest merger failures in history will be examined. Why mergers succeed and examples of the most successful mergers will be discussed as well. The second half of this paper will tie in mergers and acquisitions with accounting scandals and frauds and investigate their effects on mergers and acquisitions and vice versa. It appears that managers of misreporting firms tend to pursue acquisitions more frequently in order to conceal the fraud.
